Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "you") and Matlea Technologies Ltd ("Matlea", "we", "us", or "our"), concerning your access to and use of the Matlea platform, dashboard, AI voice agents, and custom web menus (collectively, the "Services").

2. B2B Services

Our Services are provided exclusively for business-to-business (B2B) use. By registering for our Services, you confirm that you are acting on behalf of a registered business, restaurant, or hospitality entity, and have the authority to bind said entity to these Terms.

3. Fees and Payment

Matlea operates on a modular "A La Carte" pricing model. You agree to pay all charges at the prices then in effect for your selected modules, and you authorize us to charge your chosen payment provider on a recurring monthly basis. There are no lock-in contracts; you may cancel your monthly subscription at any time prior to your next billing cycle.

All fees are exclusive of VAT or other applicable taxes, which will be added to your invoice at the prevailing rate.

4. Intellectual Property

The Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Client data, including customer lists, menu items, and order history, remains the exclusive property of the Client.

5. Service Availability and SLAs

We strive to ensure 99.9% uptime for our AI Voice Agents and Web Menus. However, we cannot guarantee that the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance, resulting in interruptions, delays, or errors.

6. Limitation of Liability

In no event will Matlea, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages.

7. Governing Law

These Terms shall be governed by and defined following the laws of England and Wales. Matlea Technologies Ltd and yourself irrevocably consent that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
